Today, over 200 transit agencies in 12 countries – including LA Metro, MARTA, SEPTA, and MBTA – rely on Swiftly to improve on-time performance by up to 40% and increase passenger information accuracy by up to 50%. The result is better service reliability, increased ridership, and more efficient transit operations.
Even though Swiftly's HQ office is located in San Francisco, CA, we are open to candidates in most locations across the U.S. as well as Ontario and British Columbia, Canada. At this time we are unable to provide Visa sponsorship.

The Role

This is the only role at Swiftly dedicated to legal work, which makes it unusually broad and unusually visible. You'll own the day-to-day legal and compliance function end to end: contracts and NDAs, business license renewals, insurance, and the steady stream of documentation our customers require before they'll sign or pay.

This is an individual contributor role reporting to the CFO. You will not be doing this alone or without support. You will have access to both the CFO and outside legal counsel for anything beyond the scope of a paralegal role, and part of what makes this job work is knowing where that line sits. The best person for this role is someone who handles the routine 80% confidently and independently, and who has the judgment and the confidence to raise a hand on the other 20% rather than guess.

What you'll do

Contracts and NDAs

  • Review, redline, and process NDAs, and turn them around fast enough that they never slow a deal down.
  • Perform first-pass review of customer agreements, order forms, vendor contracts, amendments, and renewals against our approved positions and playbook using AI skills.
  • Flag material deviations (indemnification, limitation of liability, IP ownership, data rights, termination, and assignment) and route them to the CFO.
  • Prepare and maintain contract templates, fallback language, and the negotiation playbook.
  • Keep the contract repository accurate, complete, and searchable.
  • Reply to due diligence requests as needed.

Corporate compliance and business licenses

  • Own the full business license portfolio: applications, renewals, annual reports, and state registrations across every jurisdiction where we operate.
  • Maintain the compliance calendar (using an outside registered agent service) so nothing lapses, and build the tracking that makes deadlines visible well before they're urgent.
  • Manage foreign qualifications, registered agent relationships, and good-standing certificates.
  • Maintain corporate records and entity documentation, and prepare the corporate housekeeping items that come up in financings, audits, and diligence.
  • Coordinate registrations tied to selling into new states or new customer types.

Insurance and risk

  • Manage the company's insurance program end to end: general liability, professional liability and E&O, cyber, property, auto, workers' compensation, umbrella, and D&O.
  • Own the annual renewal cycle, including applications, underwriting questionnaires, and broker coordination.
  • Issue and track certificates of insurance, additional insured endorsements, and waivers of subrogation in response to customer and vendor requirements.
  • Compare contractual insurance requirements against actual coverage, and flag gaps before we commit to them.
  • Support claims reporting and coordinate with brokers and carriers.

Customer-required documentation

  • Own the documentation customers need in order to do business with us: vendor forms, W-9s, supplier registrations, procurement portals, certificates of insurance, and compliance attestations.
  • Assemble and submit responses to customer and prospect requests for corporate, insurance, and compliance documentation.
  • Support bid, RFP, and procurement submissions with the required legal and administrative attachments, certifications, and signatures.
  • Maintain a current library of standard documents so these requests can be answered in hours rather than days.

Legal operations

  • Build and improve the systems, workflows, and trackers that make a one-person legal function scale.
  • Document processes so the work is repeatable and doesn't live only in your head.
  • Provide practical guidance and training to Sales, Finance, and Operations on process, approvals, and what needs review.
  • Support adjacent areas as needed: trademark and IP housekeeping, privacy and data protection requests, and subpoena or records requests, escalating to counsel where appropriate.

What will set you up for success

  • 5+ years of paralegal and contracts experience, ideally at a technology or SaaS company.
  • Hands-on contract experience, including reviewing and redlining NDAs and commercial agreements against a playbook.
  • Working knowledge of business license and entity compliance across multiple jurisdictions.
  • Familiarity with commercial insurance concepts, certificates of insurance, and contractual insurance requirements.
  • Exceptional organization and follow-through: you own the deadline calendar, and nothing quietly expires.
  • Sound judgment about scope: you know what you can handle, what needs counsel, and you're comfortable saying so.
  • Clear, direct communication with sales reps, executives, customers, and attorneys alike.
  • Comfort operating independently in a role with no template and no predecessor to lean on.
  • Paralegal certificate, or a bachelor's degree with equivalent practical experience.

Nice to have

  • Experience with public sector, government agency, or enterprise procurement processes.
  • Exposure to data privacy frameworks or security questionnaire and audit support (SOC 2, GDPR, CCPA).
  • Notary commission or willingness to obtain one.
