This role

As Corporate Paralegal, you will support the General Counsel and legal team on the corporate governance, transactional, and compliance work critical to the company's growth and IPO readiness. You will manage board materials and minutes, corporate filings, and data rooms for financings and deals, and serve as the company's primary point of contact with its global corporate services provider. This role requires strong organizational skills, meticulous attention to detail, and sound judgment in handling confidential corporate and legal information.
Responsibilities
Corporate Governance & Compliance:
  • Manage corporate calendars, tracking governance, filing, and compliance deadlines across U.S. entities.
  • Prepare, file, and maintain corporate filings (annual reports, franchise tax filings, qualifications to do business, etc.) in coordination with outside counsel and the corporate services provider.
  • Serve as the primary relationship point of contact with the company's global corporate services provider, coordinating entity management, registered agent services, and filings.
  • Maintain corporate records, minute books, and entity organizational charts across the corporate family.
  • IPO Readiness:
  • Manage documentation related to IPO readiness, including adoption and maintenance of public-company governance policies (board/committee charters, insider trading policy, Section 16/D&O compliance materials), equity and cap table records, and exhibits/schedules for the registration statement.
  • Support due diligence requests from underwriters, auditors, and outside counsel by preparing and maintaining structured data rooms.
  • Track document requests and action items across legal, finance, and other teams in preparation for an offering.
  • Transactions & Deal Support:
  • Build, organize, and manage data rooms for financings, M&A, and other corporate deals.
  • Support deal and financing closings via management of closing checklists, signature pages, closing sets/binders, etc.
  • Track post-closing deliverables and conditions subsequent to completion.
  • General Legal Team Support:
  • Support enforcement of billing guidelines and e-billing implementation as needed.
  • Assist with contract lifecycle management (CLM) processes and documentation.
  • Provide general organizational support to the General Counsel and legal team as needed
  • Qualifications
  • Bachelor's degree and 3+ years of relevant paralegal, corporate legal, or corporate governance experience, or equivalent combination of education/experience.
  • Experience supporting corporate governance functions (board meetings, minutes, corporate records).
  • Experience managing data rooms and/or supporting financings, M&A, or other corporate transactions.
  • Familiarity with entity management and corporate filings across U.S. jurisdictions.
  • Tech-savvy, with proficiency in Microsoft Office and Google Suite.
  • Strong organizational skills and attention to detail; able to manage multiple deadlines in a fast-paced environment.
  • Excellent written and verbal communication skills.
  • Discretion, integrity, and sound judgment handling confidential corporate and legal information.
