About Accrete

Accrete builds Knowledge Engine products that combine organizational context, human expertise, and specialized AI agents for consequential work across enterprise and national security. Our agents analyze multimodal data, generate insights, and make recommendations that help commercial and government organizations improve decisions, operations, and security.

About the Role

Accrete is seeking a versatile, solutions-oriented attorney to work at the intersection of law, technology, artificial intelligence, and business. The Counsel will combine strong transactional skills with sound judgment and business alignment. The role will focus on technology and commercial transactions, as well as governance, compliance, regulatory, employment, privacy, IP, product support, and risk management. Reporting to the Deputy General Counsel, the Counsel will work with senior leadership, cross-functional stakeholders, and be expected to work independently most of the time. The role offers both the autonomy to make a direct impact and the opportunity for growth.

Key Responsibilities

  • Drafting, reviewing, and negotiating SaaS, licensing, data-use, partnership, and services agreements with private-sector and government customers, partners, and vendors.
  • Handle non-standard and escalated contracts from the company's deal desk, and advise on risk allocation, including indemnification, limitation of liability, and IP terms
  • Developing and refining contract templates, playbooks, and scalable contracting workflows.
  • Reviewing and negotiating U.S. federal government contracts, including teaming agreements, subcontracts, vendor agreements, and NDAs
  • Supporting government-contract obligations, including OTAs, security requirements, and related compliance processes.
  • Supporting the Company’s compliance and regulatory program, including policy development and application of relevant laws and standards, and handling compliance issues as needed.
  • Supporting corporate governance, including corporate housekeeping, board and stockholder materials, and subsidiary management.
  • Assisting with equity and debt financings, including drafting, diligence, and coordination with outside counsel.
  • Advising on employment matters, including policies, investigations, performance management, and separations, and drafting related agreements.
  • Partnering with HR to support consistent, well-documented, and legally sound decision-making.
  • Supporting IP and proprietary matters, including confidentiality, licensing, and branding.
  • Working with engineering and product teams on data rights, product releases, and responsible-AI considerations.
  • Identifying, assessing, and mitigating legal and operational risks across the business.

Required Qualifications and Experience

  • J.D. from an accredited U.S. law school
  • Admission to practice in at least one U.S. jurisdiction (New York preferred)
  • 5+ years of legal practice at a law firm, in-house, or both, including at least one year in-house
  • Substantial experience negotiating commercial technology transactions with both enterprise customers and smaller businesses
  • Experience in and knowledge of U.S. federal government contracting, including federal acquisition process and regulations.
  • Experience advising growth-stage technology companies
  • Familiarity with emerging AI regulation
  • Outstanding academic record
  • Ability to manage multiple priorities in a fast-paced environment
  • Excellent judgment, communication, and organizational skills, with a practical, business-minded approach
  • High ethical standards and integrity
