About The Role:

Middesk is growing fast, and so is the commercial activity that comes with it. We're looking for a Commercial Counsel to join our Legal team and own the day-to-day work of getting deals done: reviewing, negotiating, and redlining commercial agreements in support of our sales team.

This is a foundational hire. You'll be the second legal hire at Middesk and the primary legal resource our AEs turn to when they need to move quickly and close confidently. You'll also have real influence over how we build out our legal operations infrastructure, including the tools, templates, and workflows we're putting in place as we scale.

If you want to do substantive work from day one, get in on the ground floor of a growing legal function, and eventually expand well beyond commercial contracts, this is that role.

We follow a hybrid work model, and for this role, there is an expectation of 2 days per week in our NYC office. Candidates should be based within a commutable distance, as we believe in the value of in-person collaboration and building strong team connections while also supporting flexibility where possible.

What You'll Do:

  • Own the full lifecycle of commercial contract review: redlining, negotiating, and closing agreements with enterprise and mid-market customers

  • Be the primary legal support for our sales team, helping AEs and AMs move deals forward without unnecessary friction

  • Help build out legal operations infrastructure, which includes contract management tooling, templates, playbooks, and processes that don't yet exist

  • Partner with the Head of Legal on ad hoc matters as you get up to speed on the broader business

  • Grow into a generalist legal role over time as your bandwidth increases and the business scales

What We're Looking For:

  • 2+ years of experience in commercial contract work, either in-house or as outside counsel supporting B2B SaaS clients with commercial overflow

  • Strong redlining and negotiating skills – you've done this work hands-on and can run a deal independently

  • Sharp communicator who can work directly with salespeople and explain tradeoffs clearly, without legalese

  • J.D. required; active bar admission required

Nice-to-Have:

  • Familiarity with legal ops tooling (contract lifecycle management, e-signature platforms, etc.)
