We are hiring a Contracts Manager in our New York City office.

About the Role:

You will be responsible for managing the day-to-day deal flow, including negotiation and execution of contracts with Applecart’s clients and vendors. In this position, you will work with internal (Legal, Operations, and Business Development) and external (clients, vendors) stakeholders to ensure that contracts are signed as quickly and with as little friction as possible, while securing favorable contractual terms for Applecart. You will manage the commercial and operational aspects of client and vendor contracting - i.e., negotiating terms as well managing contract templates. The Contracts Manager will contribute to mission critical company goals like revenue growth by ensuring that we are able to efficiently close deals with our clients. This role will report to the VP of Business Operations, Zach Herz-Roiphe.

What You’ll Do:

  • Own the deal flow process, including negotiation and execution of all of Applecart’s client contracts
    • Understand the business context of the deal in question in order to make judgment calls about what deal terms Applecart should accept. Escalate decisions and recommendations to leadership as appropriate.
    • Coordinate with Applecart’s General Counsel (and outside counsel, as applicable) to review and mark up client contracts
    • Directly correspond with external counterparties to move contracts to execution, including:
      • Explaining the key components of Applecart’s customer contracts to counterparties
      • Answering counterparty questions regarding contracts
      • Sharing redlines and arranging and leading calls with counterparties
  • Move deals from contracting to signature as quickly as possible by coordinating with the Business Development, Legal, Operations, and Finance teams
  • Draft client order forms based on existing templates and deal information provided by the Business Development team
  • Negotiate vendor contracts based on existing templates and information provided by the relevant internal business contact
  • Maintain an organized repository of client and vendor contracts on Applecart’s internal shared drive
  • Act as the administrator of Applecart’s e-signature platform, PandaDoc
  • Complete vendor onboarding documentation as requested by clients

Experiences and Capabilities You Bring:

  • 7+ years of experience in a role involving contract negotiation / contract management, directly negotiating with counterparties
  • This position does not require a JD. The role is operational in nature and involves coordinating with the various legal and business stakeholders on both sides to negotiate contracts and move them to execution
  • Experience negotiating provisions related to data & privacy terms (such as CCPA and other state privacy laws)
  • Ability to understand detailed contractual / legal language
  • Ability to wrangle internal and external stakeholders to meet deadlines
  • Experience with e-signature platforms
  • Willingness and ability to work on clients’ timelines, including responding to correspondence after hours or over the weekend when necessary to meet a deal deadline
  • Strong written and verbal communication skills
  • Impeccable attention to detail and superior organizational skills

This is a hybrid role. Work from anywhere on Monday and Friday and in Applecart’s New York City office Tuesday through Thursday. 

Compensation:

Our compensation package consists of three components: (i) a base salary, (ii) annual cash bonus, and (iii) generous equity compensation.

The base salary range for this role is between $150,000-$180,000, based on the candidate's experience and skills relative to the requirements listed above. The salary range provided is exclusive of discretionary annual cash bonus and equity compensation. The salary range provided for this role is specific to candidates located in the New York City area.
